Terms of Use

1. Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of the Moment42 web application, mobile applications, and supporting services (collectively, the "Service") provided by Moment42 ApS ("Moment42", "we", "us", "our"). By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least the age required to form a binding contract in your jurisdiction (16 in most parts of the EU) to use the Service. You must not use the Service if you are barred from doing so under any applicable sanctions, export control, or restricted-parties laws.

3. Your account

You are responsible for safeguarding your account credentials, including passkeys, passcodes, and any devices you have registered for authentication. You must provide accurate registration information and promptly update it if it changes. You are responsible for activity that occurs under your account.

4. Acceptable use

You agree not to:

• Use the Service to send spam, unsolicited messages, or abusive content via meeting invitations or follow-ups.
• Scrape, crawl, or otherwise harvest data from the Service or its users.
• Upload or transmit content that infringes intellectual property rights or applicable law.
• Attempt to subvert authentication, the Site-Access Gate, rate limiting, or any other access control.
• Reverse engineer, decompile, or attempt to derive source code or trade secrets from the Service, except where applicable law expressly permits.
• Use automated agents to interact with the Service in a manner that degrades performance for other users.

5. Third-party integrations

The Service connects with third-party providers (including Google, Microsoft, and Zoom) on your behalf when you grant OAuth consent. Your use of those providers is governed by their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or behaviour of any third-party provider, and we cannot guarantee that an integration will function continuously.

6. Beta service and availability

Parts of the Service are offered during a private beta. Features may change, be added, or be removed at short notice. The Service is provided on an "as is" and "as available" basis without uptime guarantees. Scheduled and unscheduled downtime may occur.

7. Intellectual property

Moment42 (and its licensors) owns all rights, title, and interest in the Service, including all software, branding, and content other than your own user content. You retain ownership of the content you submit to the Service (such as meeting purposes, participant lists, and notes), and you grant Moment42 the worldwide, non-exclusive licence necessary to host, process, and display that content for the purpose of operating the Service for you and the participants you have invited.

8. User content and AI features

The Service offers AI assistants, meeting skills, and virtual participants. These features process user content (including meeting purposes, participant information, and follow-up actions) to generate suggestions, summaries, and other output. AI-generated output may contain errors and is not legal, medical, financial, or other professional advice. You are responsible for reviewing and verifying any AI-generated output before acting on it.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates legal, security, or operational risk. Data deletion timing on termination follows the retention rules in our Privacy Policy.

10. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

11. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Moment42, its affiliates, or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or in connection with your use of the Service. Moment42's aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid to Moment42 for the Service during the 12 months preceding the event giving rise to the claim, or (b) EUR 100. Nothing in these Terms excludes liability that cannot lawfully be excluded under Danish law.

12. Indemnification

You agree to indemnify and hold harmless Moment42 and its personnel from and against any third-party claim arising out of your misuse of the Service, your violation of these Terms, or your infringement of any law or third-party right.

13. Governing law and venue

These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules. The courts of Copenhagen, Denmark have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where mandatory consumer protection law in your country of residence requires otherwise.

14. Changes to these terms

We may update these Terms from time to time. When we do, we update the "Effective" date at the top. For material changes we will additionally surface a notice inside the Service. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
